TL;DR

Our tools are free and provided as-is. You own everything you create. Don't scrape our site or resell our tools as your own. Digital products (prompt packs) are non-refundable after download, but we'll work with you if you're unhappy.

1. Acceptance of Terms

By accessing or using naviwork.tools (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site. These Terms constitute a legally binding agreement between you and NaviWorks LLC, a California limited liability company ("we," "us," or "our").

2. Description of Service

naviwork.tools provides a collection of free, browser-based tools for developers, designers, and business owners. All tools run client-side in your browser. We do not process your data on our servers.

We reserve the right to modify, suspend, or discontinue any tool or feature at any time, with or without notice. We are not obligated to maintain, support, or update any particular tool.

3. Free Tools — No Guarantee

The tools on naviwork.tools are provided free of charge. Because they are free:

We make no guarantee of uptime, availability, or accuracy.
Tools may contain bugs, produce incorrect output, or be temporarily unavailable.
We may remove, replace, or significantly change any tool without notice.
You are responsible for verifying the output of any tool before relying on it for any purpose.

4. User Content and Ownership

You retain all rights to content you create using our tools. We claim no ownership, license, or interest in any text, code, images, designs, or other output you generate. Since all tools run in your browser, your content never touches our servers.

You are solely responsible for ensuring that your use of any tool output complies with applicable laws and does not infringe on third-party rights.

5. Acceptable Use

You agree not to:

Scrape or crawl the Site using automated tools, bots, or scripts beyond what is permitted by our robots.txt
Redistribute our tools as your own product, whether for free or for sale, including copying our source code and hosting it on another domain
Reverse-engineer our tools for the purpose of creating a competing service
Interfere with the Site's operation, including attempting to overload servers, exploit vulnerabilities, or inject malicious code
Misrepresent your affiliation with NaviWorks LLC or naviwork.tools
Use the Site for any purpose that is unlawful or prohibited by these Terms

Linking to our tools, embedding screenshots, or recommending them in blog posts and tutorials is encouraged and does not require permission.

6. Digital Products (Prompt Packs)

We may offer digital products for purchase, such as prompt packs. The following terms apply to paid digital products:

No refunds after download. Because digital products are delivered instantly and cannot be "returned," all sales are final once the product has been downloaded or accessed.
Satisfaction guarantee. If you are genuinely dissatisfied with a purchase, contact us at alex@naviwork.tools within 14 days. We will work with you in good faith to resolve the issue, which may include a replacement, credit, or refund at our discretion.
License. Purchasing a digital product grants you a personal, non-exclusive, non-transferable license to use the product for your own purposes. You may not resell, redistribute, or share the product with others.
Pricing. We reserve the right to change prices at any time. Price changes do not affect previously completed purchases.

7. Intellectual Property

The naviwork.tools name, logo, design, and source code are the property of NaviWorks LLC. The tools themselves may incorporate open-source libraries, each governed by their respective licenses.

Nothing in these Terms grants you any right to use our trademarks, trade names, or branding without prior written consent.

8. Disclaimer of Warranties

THE SITE AND ALL TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that the results obtained from any tool will be accurate or reliable.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NAVIWORKS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY TOOL.

Our total aggregate liability for any claim arising from these Terms or your use of the Site shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $50 USD.

10. Indemnification

You agree to indemnify, defend, and hold harmless NaviWorks LLC and its owner, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Site, your violation of these Terms, or your violation of any third-party rights.

11. Third-Party Links and Services

The Site may contain links to third-party websites or services. We are not responsible for the content, accuracy, or practices of any third-party site. Your use of third-party services is governed by their respective terms and policies.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Site shall be resolved in the state or federal courts located in Sacramento County, California, and you consent to the personal jurisdiction of those courts.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
